Provider Agreement

This agreement is between Egon Forenbacher, of 47 Taunton Road, Toronto, Ontario M4S 2P2, Canada ("Big Globe Ship") and the company applying to be listed ("Provider"). By submitting the application form or sending a quote you accept it.

Key points (please read before you accept)

  1. You are fully and solely liable. Provider is fully and solely liable to customers, and to anyone else, for the accuracy of everything it says (its listing, quotes, published rates, transit times, licences, insurance and capabilities), for any misrepresentation, false or misleading statement or fraud, and for all loss, damage, delay, theft, misdelivery or other harm to cargo, whether caused by Provider or by anyone it uses.
  2. Big Globe Ship is not liable for anything. To the fullest extent the law allows, Big Globe Ship is not liable to Provider or to any customer for Provider's statements or services, for cargo, for a customer's acts, or for any loss connected with using the platform. Big Globe Ship only introduces parties. It does not hold cargo or customer money, and its checks on Provider are limited and are not a guarantee of Provider or its services.
  3. You protect Big Globe Ship. If anyone brings a claim against Big Globe Ship because of Provider's services, statements or conduct, Provider will defend it and pay all resulting losses and costs (section 11).
  4. Quotes bind you. A submitted quote or published rate is binding until its validity date and cannot be raised (section 4).
  5. Insurance. Provider must hold and keep liability insurance suited to its services (section 3).
  6. Fees. Big Globe Ship earns a customer platform fee and a Provider commission of 5% of Provider's quoted price, which falls for repeat partners (section 5).

1. Role of the parties

Big Globe Ship operates an online comparison and introduction platform. Provider is an independent business. Nothing creates a partnership, agency, joint venture or employment. Big Globe Ship does not carry, forward, handle or hold cargo or customer money and does not guarantee Provider any volume of business.

2. Provider's contract with customers

  1. When a customer accepts Provider's quote, Provider contracts directly with the customer, on Provider's own terms (which Provider must link to its quote). Big Globe Ship is not a party to that contract.
  2. Provider is solely responsible for the services, including pick-up, carriage, delivery, documents (bills of lading, air waybills, CMR notes, etc.), customs and security filings it undertakes, subcontractors and carriers it uses, and all loss, damage, delay, claims, fines and penalties arising from them.
  3. Provider will perform with reasonable skill and care and in accordance with applicable law.

2A. Accuracy and misrepresentation

Provider is solely responsible for the accuracy and completeness of every statement it makes through or in connection with Big Globe Ship, including its company details, licences, memberships, insurance, experience, routes, transit times, service levels, inclusions and exclusions, quotes and published rates. Provider will not make any false, misleading or exaggerated statement, will correct any error as soon as it learns of it, and will tell Big Globe Ship promptly if a statement it made is no longer true. Provider is liable to customers and to Big Globe Ship for any misrepresentation, whether intentional, careless or innocent, and for fraud. Big Globe Ship's checks on Provider, any badge or description of those checks, and the fact that Provider is listed are not statements by Big Globe Ship that anything Provider says is true or that Provider will perform.

2B. Cargo

From the moment Provider (or anyone it uses) takes custody or control of cargo until delivery, Provider is solely responsible for it and liable for its loss, theft, damage, delay and misdelivery, including where caused by carriers, terminals, drivers, subcontractors or agents, subject only to the limits that mandatory law or the applicable transport convention allows Provider to rely on in its own contract with the customer. Provider will recommend that customers insure their cargo and will not describe its own limited liability as insurance. Big Globe Ship never takes custody of cargo and has no responsibility for it.

3. Licences, registration and insurance

Provider warrants that it is a validly registered business and holds, and will keep current, every licence, registration, membership, bond and insurance required for the services it offers in every relevant country (for example forwarder or NVOCC registration, IATA accreditation, operator licences, customs broker licences where it files customs entries, and liability insurance at a level appropriate to its business). Provider will give Big Globe Ship accurate documents on request, tell Big Globe Ship within 5 business days if any lapses or changes, and agrees Big Globe Ship may hide or suspend its listing when a document expires or cannot be verified.

4. Quotes

Quotes must be accurate and binding until the validity date shown. After booking Provider may not raise the price except for surcharges that the quote clearly disclosed or that arise from information the customer gave incorrectly. Quotes must state what is included and excluded. Once submitted, a quote is binding until its validity date and may not be raised. Provider may lower the price or extend the validity (the customer is told of the new quote), but may not raise the price or shorten the validity of a submitted quote or published rate for a request it has already quoted. If Provider made a genuine mistake it must contact Big Globe Ship, which may withdraw the quote so that a corrected one can be submitted; a customer who has already booked the original quote is bound only to the original price.

Cargo insurance. Unless Provider says otherwise on the quote, cargo insurance is not included and the quote says so to the customer. Provider may offer insurance as "included" or "optional" only if the cover genuinely exists, is lawfully arranged (by Provider if it is licensed to do so, or through a licensed insurer or broker), and its terms, exclusions and limits are available to the customer. Any optional insurance is arranged and charged directly between Provider and the customer: Big Globe Ship does not sell, arrange or recommend any insurance, earns no commission on it, and is not responsible for it. Provider's own liability insurance required by this agreement is not cargo insurance and is not a substitute for it. Provider must not describe its limited liability for cargo as "insurance".

Published rates (instant quotes). If Provider publishes standing rates on the platform, Big Globe Ship may show a customer an instant quote calculated from them. A published rate is a binding offer on the stated unit price, minimum charge and inclusions until its valid-until date, in the same way as a quote Provider submits by hand, and a customer may accept it without further confirmation. Provider is responsible for keeping rates current, may remove a rate at any time (without affecting bookings already made), and will not put contact details in rate notes. Provider must respond to quote requests that are not covered by a published rate within 24 hours, and Big Globe Ship may show Provider's typical reply time to customers and hide listings that regularly go unanswered.

5. Fees

  1. For each booking, Big Globe Ship earns (a) a customer platform fee added to Provider's price and shown to the customer as part of the all-in price, and (b) a Provider commission of 5% of Provider's quoted price (the total price Provider quotes for the shipment, excluding the customer platform fee) (or the rate shown in Provider's account).
  2. Stripe route: if Provider connects its own Stripe account, the customer's payment is made directly to Provider's account, and Stripe deducts Big Globe Ship's fee and commission as an application fee. Provider receives the quoted price less the commission. Stripe may be required. Big Globe Ship encourages every provider to connect Stripe and shows connected providers first and labelled "Pay online securely". We may at any time, on 14 days' notice sent to Provider's email, require Provider to be connected to Stripe in order to receive quote requests, quote or be booked. If we do, and Provider is not connected, Provider will not receive requests or be bookable until it is, and its already-accepted bookings are not affected.
  3. Direct route: otherwise Provider invoices the customer the all-in price, collects it, and pays Big Globe Ship the platform fee and commission within 14 days of receiving payment, with a monthly statement. Big Globe Ship may audit relevant records on reasonable notice.
  4. Repeat-partner reduction. Provider's commission falls as it completes jobs through Big Globe Ship: 0.5 percentage points lower after 3 completed jobs, 1.0 lower after 10, and 1.5 lower after 25 (never below 1%). A completed job is a booking marked paid, in transit or delivered. Big Globe Ship may change this schedule for future bookings on 30 days' notice.
  5. Provider bears all payment-processing costs, including Stripe's card and currency-conversion fees on payments to its account, as well as its own taxes and bank charges. Big Globe Ship's fee and commission are never reduced by processing costs, and Provider should price its quotes with these costs in mind.

6. Refunds, chargebacks and payment disputes

Provider is responsible for refunds, cancellations, chargebacks, disputes and payment fraud on the payments it receives, and will handle them in line with the Refund and Complaints Policy. Where that policy requires the platform fee to be refunded, Provider will refund it (on the Stripe route, by refunding the application fee) and Big Globe Ship will not be required to fund it.

7. Customer relationship and non-circumvention

Customer contact details are shared only after a booking, and only for that booking and its administration. Provider will not put its own or the customer's contact details (emails, phone numbers or web links) in quotes or notes before a booking, and will not ask a customer to deal outside Big Globe Ship for a request introduced through the platform.

For 12 months after Big Globe Ship first introduces a customer, Provider will arrange that customer's shipments through Big Globe Ship, or pay Big Globe Ship the commission that would have been due on any shipment Provider arranges for that customer outside the platform. This does not apply to customers Provider already had before the introduction, and Provider may continue to serve them. Big Globe Ship may ask customers whether they booked and may use their answers to check compliance, and may reduce visibility or suspend Provider if it finds avoidance of fees.

8. Service standards and complaints

Provider will respond to quote requests within a reasonable time, answer customer and Big Globe Ship complaints within 10 business days, and cooperate with reasonable inquiries. Big Globe Ship may track response times, complaints and ratings and may reduce visibility or remove Provider for poor performance.

9. Compliance

Provider will comply with all applicable laws, including sanctions, export controls, anti-bribery, anti-money-laundering, customs, dangerous goods, privacy and consumer protection rules. Provider will not accept cargo it knows or suspects is prohibited or sanctioned.

10. Data protection

Each party is responsible for its own handling of personal information it receives. Provider will use customer data only to quote, perform and administer the booking, keep it secure, and comply with applicable privacy law (including PIPEDA and, where relevant, GDPR). Provider consents to Big Globe Ship emailing it quote requests and service notices.

11. Indemnity and release

  1. Provider will defend, indemnify and hold harmless Big Globe Ship, its owners, officers, personnel and contractors against all claims, demands, losses, damages, fines, penalties and costs (including reasonable legal fees) arising from or connected with: (a) Provider's services or its contracts with customers; (b) loss of, damage to, theft or delay of cargo; (c) any statement by Provider that is false, misleading or incomplete, or any misrepresentation or fraud; (d) Provider's breach of this agreement or of the law; and (e) any claim by a customer, carrier, subcontractor, authority or other third party that relates to the cargo or services and is brought against Big Globe Ship.
  2. If a claim is brought against Big Globe Ship for any of those things, Provider will take over its defence at Provider's cost on request, and will pay any settlement or judgment, and Big Globe Ship may instead choose its own counsel at Provider's cost.
  3. Provider releases Big Globe Ship from all claims Provider may have against it arising from customers' acts or omissions, other providers, carriers or third parties, the accuracy of customer information or estimates, interruptions of the platform, or the volume of business Provider receives, except for Big Globe Ship's own fraud or wilful misconduct.

12. Limitation of Big Globe Ship's liability

Provider uses the platform at its own risk. To the fullest extent permitted by law, Big Globe Ship is not liable to Provider for any loss arising from the platform or from customers, other providers or third parties, including lost profits, lost business, indirect or consequential loss, or for customer non-payment, cancellation, or inaccuracy of customer information. Big Globe Ship's total liability to Provider under this agreement is limited to the fees Big Globe Ship received from Provider in the 3 months before the claim. Nothing excludes liability that cannot lawfully be excluded.

13. Suspension and termination

Big Globe Ship may suspend or remove Provider immediately if Provider breaches this agreement, a document lapses, a verification fails, complaints are repeated or serious, or Big Globe Ship suspects fraud or a legal problem. Either party may end this agreement on 30 days' written notice. Existing bookings continue to be governed by it, and sections that by nature survive (fees, indemnity, liability, data, governing law) survive.

14. General

Ontario law and the federal laws of Canada applicable there govern this agreement, and the courts of Ontario have non-exclusive jurisdiction. Provider may not assign it without consent. If a part is unenforceable the rest remains. This agreement, the Terms of Service as they apply to customers, and the Refund and Complaints Policy are the whole agreement on this subject. Big Globe Ship may update this agreement with 30 days' notice; continuing to use the platform means acceptance.
